As far as IOS 12.2 will give you more options for RBE, dhcp unnumbered, etc. If you want those in 12.1 you'll need to jump over to a 12.1T variation. Personally we had some router crash issues with 12.1(5)T<6 through 10> and it's cleared up with 12.2.7 Memory will depend on what the IOS requires (32mb for 12.2.7) and how much routing you're going to be doing out of that router. If you're just doing DSL aggregation 32 or 64 should be sufficient. If you need to do anything with BGP tables it's easiest to just get 128 and not worry about it.
